Amara Holdings takeover offer ‘fair and reasonable’—IFA
The offer was for $0.895 cents per share.
W Capital has declared DRC Investment’s offer to take Amara Holdings private for $0.895 cents per share to be ‘fair and reasonable’, according to an Offeree Circular issued by the company.
The independent financial advisor (IFA) also advised the directors to recommend that shareholders accept the offer.
DRC Investments is a consortium which includes Hwa Hong, Wing Tai, and the Teo family. They made the offer to take Amara Holdings private in late April 2025.
The offer price represents a 33% premium over Amara’s net asset value as of December 2024, a 27% premium over its last trading price, and a 48.9% premium over the volume-weighted average prices across the past year.
DRC Investments currently has 90.58% of all Amara Holdings shares
