Wee Hur completes 37.1% stake disposal for $319.8m

It now holds a 13% indirect interest in each of the Target Group Trusts.

Wee Hur Holdings Ltd. has announced the completion of its proposed disposal of a 37.1% indirect stake in the Target Group Trusts to Evolution Trustees Limited, acting in its capacity as trustee of GS Australia Student Venture I Mid Trust.

The disposal was executed for a net consideration of $319.8m (A$355.4m). This transaction, classified as a major one under the Company's corporate structure, follows a series of key announcements.

On 16 December 2024, the company initially disclosed the proposed disposal. On 28 February 2025, the shareholders of Wee Hur Holdings approved the deal during the Extraordinary General Meeting (EGM).

On 4 March 2025, the company confirmed the satisfaction of the remaining conditions outlined in the Unit Sale Agreement.

Following the completion of the disposal, Wee Hur Holdings, through its subsidiary WH Australia, now holds a 13% indirect interest in each of the Target Group Trusts via the GS Head Trust.

The Board of Directors has advised shareholders to exercise caution before making any decisions regarding their dealings in the company’s shares.
