First Resources begins mandatory tender offer for remaining ANJ shares

The offer price is $0.143 per share.

First Resources Limited has launched a mandatory tender offer to acquire the remaining 207,649,166 shares of PT Austindo Nusantara Jaya, Tbk (ANJ), representing 6.19% of the company’s issued capital.

This follows First Resources’ completion on 6 May 2025 of a purchase of 3,057,981,688 ANJ shares, or 91.17% of the company, from PT Austindo Kencana Jaya, PT Memimpin Dengan Nurani, Sjakon George Tahija, and George Santosa Tahija.

The MTO excludes 88,544,146 shares already acquired by the company’s subsidiary, PT Ciliandra Perkasa, via the open market for $12.45m (IDR 157.94b)

The offer price is $0.143 (IDR 1,813) per share, equal to the price paid to the sellers and the higher of the average 90-day trading price or the acquisition price.

The MTO runs from 26 August to 24 September 2025.
