FLCT unitholders approve changes to management fee mechanics

Passing of the resolution to amend the provisions in the trust deed

Unitholders of Frasers Logistics & Commercial Trust (FLCT) approved changes to the trust’s management fee mechanics at its annual general meeting, the manager said in a filing.

Following the approval, Frasers Logistics & Commercial Asset Management Pte. Ltd., as manager of FLCT, entered into an eighth supplemental deed with Perpetual (Asia) Limited, the trustee of the trust, on the same day to formalise the amendments.

The changes relate to the timing of the manager’s election on whether base and performance fees are paid in cash, units, or a combination of both, as well as the method used to determine the market price when fees are settled in units.

The revised provisions are set out in the Management Fee Supplement dated 23 December 2025, which was circulated to unitholders ahead of the meeting, the manager said.

The amendments to the trust deed will take effect one month from the date of the announcement, according to the filing.
